Newfield believes that sound corporate governance principles are critical to ensuring the trust of investors. We have an active and qualified board of directors. A majority (11 out of 12) of our directors are independent as defined by the NYSE. Our three primary board committees are comprised exclusively of independent directors. and other interested parties can anonymously report any practices thought
to be in violation of our corporate governance polices. The Ethics Line
